Terms of Service

The agreement between you and [Operator Legal Entity] for use of Heartland Intel.
1. Agreement
These Terms of Service ("Terms") govern your access to and use of Heartland Intel (the "Service"), operated by [Operator Legal Entity] ("we", "us"). By creating an account, subscribing, or using the Service, you agree to these Terms and to our Privacy Policy, Acceptable Use Policy and Data & Accuracy Disclaimer, which are incorporated by reference.
If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.
2. Eligibility and accounts
You must be at least 18 and able to form a binding contract. You are responsible for the accuracy of your account information and for all activity under your account and API keys.
You must keep credentials and API keys confidential and notify us promptly of any unauthorized use.
3. Subscriptions, billing and refunds
Paid plans are billed in advance through our payment processor, Stripe, on a monthly or annual basis and renew automatically until cancelled. You authorize recurring charges to your payment method.
You may cancel at any time through the customer portal; cancellation stops future renewals and you retain access through the end of the paid period, after which access reverts to the free Preview tier.
Except where required by law, payments are non-refundable. We may change prices with at least 30 days notice, effective on your next renewal.
3a. Annual plans (one-time yearly payment)
An annual plan is a single up-front payment that grants access for a 365-day term beginning on the purchase date. The annual price is shown at checkout before you pay.
Annual plans renew for successive 365-day terms at the then-current annual rate unless cancelled before the renewal date. We will email a renewal reminder at least 30 days before each annual renewal so you can cancel first; cancelling stops the next renewal and you keep access through the end of the current 365-day term.
Enterprise annual agreements, including any multi-year term, price escalation cap, seat counts and API quotas, are governed by the order form or written agreement you sign, which controls over this section to the extent it conflicts.
4. License and acceptable use
Subject to these Terms and your active plan, we grant you a limited, non-exclusive, non-transferable, revocable license to access the Service and use its data for your internal business purposes.
You may not resell, redistribute, sublicense, or publicly release the data; scrape or bulk-extract the Service except through the API on an Enterprise plan and within its limits; reverse engineer the Service; or circumvent access controls or paywalls. 5. API
Enterprise plans may include API access subject to the quotas, rate limits and metered overage stated at purchase. We may throttle, suspend or revoke keys for abuse or to protect the Service. API data is licensed on the same terms as the rest of the Service.
6. Third-party data and no warranty of accuracy
The Service aggregates and models information from public and third-party sources. Confidence scores, lead scores, procurement estimates, capacities, investment figures and timelines are estimates or illustrative signals, not verified facts, guarantees or advice. See the Data & Accuracy Disclaimer.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUES, ARISING FROM YOUR USE OF OR RELIANCE ON THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
8. Indemnification
You will indemnify and hold us harmless from claims arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party right.
9. Termination
We may suspend or terminate access for breach of these Terms or misuse of the Service. You may stop using the Service at any time. Sections that by their nature should survive termination will survive.
10. Changes and governing law
We may update these Terms; material changes will be posted with a new effective date and, where required, notified to you. Continued use after changes means acceptance.
